1. Scope
These Terms & Conditions apply to all business relationships between VPX (Senta Steinhauser GmbH) and its business customers (“Customer”) for the sale and delivery of goods via our B2B online store or other sales channels. Deviating terms of the Customer shall not apply unless agreed in writing.

3. Conclusion of Contract
(1) Product presentations do not constitute binding offers. (2) By placing an order, the Customer submits a binding offer. (3) The contract is concluded upon our Order Confirmation or delivery.
4. Prices & Payment Terms
(1) All prices are net in EUR, excluding VAT and duties. (2) Payment terms as per Order Confirmation; default 30 days net. (3) Advance payment may be required.
5. Delivery & Shipping
(1) Delivery dates are binding only if confirmed in writing. (2) Shipping is at Customer’s cost from our warehouse in Germany. (3) Risk passes upon handover to the carrier.
6. Complaints & Returns
(1) Inspect goods upon receipt. (2) Report visible defects within 7 days; hidden defects within 7 days of discovery. (3) Unauthorized returns are not accepted.
7. Retention of Title
Goods remain our property until full payment of all amounts owed.
8. Liability & Warranty
(1) Warranty as per German commercial law. (2) No liability for damage from improper handling or storage. (3) Damage claims limited to foreseeable losses unless caused by intent or gross negligence.
9. Force Majeure
No liability for delays or failure due to events beyond our control, such as natural disasters, strikes, or government actions.
10. Governing Law & Jurisdiction
German law applies; CISG excluded. Place of jurisdiction is Coburg, Germany.
